Complementing our finance and banking practice we have a significant experience advising issuers and underwriters of debt and equity. We enjoy excellent working relations with the Comisión Nacional de Valores (Federal Securities Commission), Bolsa de Comercio de Buenos Aires (Buenos Aires Stock Exchange), the Mercado Abierto Electrónico (Argentine Over-the-Counter Market) and the Superintendencia de AFJPs (Pension Fund Commission).
We believe that today’s global economy requires a comprehensive understanding of the principles and rules of international capital markets. Consequently, certain members of CEKD were trained at prestigious universities including Harvard Law School, Columbia Law School, New York University and the London School of Economics and at prestigious law firms in New York, London and Boston, gaining a significant exposure to the U.S., England and Luxembourg’s securities practice. We advice issuers, underwriters and shareholders in private and public offerings of securities. We also participate and structure a wide variety of securities transactions involving stock, debentures, obligaciones negociables, public bonds, swaps, derivatives, warrants and stock options.
We provided legal advice in securities transactions for Banca Nationale del Lavoro S.A., Banco BEAL, Caboto Holding SIM S.p.A., CIRSA (Casino Buenos Aires), Citigroup, COTO C.I.C.S.A., Credit Agricole Indosuez, Credit Suisse First Boston, Deutsche Bank Securities, Dresdner Bank, First Trust of New York National Association (US Bank Trust), HSBC Bank plc., J.P. Morgan Chase, ING Bank, Paribas, Merill Lynch, the Province of Buenos Aires, the Province of Mendoza and UBS Warburg, among others. Before the creation of CEKD, some members have advised financial institutions and companies such as Bankers Trust, Banco Hipotecario S.A., Banco de Crédito Argentino, Bank of America, BankBoston, Banco de la Provincia de Mendoza, Inversora Eléctrica de Buenos Aires S.A., and Alpargatas S.A.I.C. and Telecom Argentina S.A., among others.
Additionally, the Bolsa de Comercio de Buenos Aires retained one of our partners, Dr. Conrado J. Etchebarne, to draft proposed legislation on securities for Argentina. Such draft was later adopted as the Ley de Oferta Pública de Títulos Valores No. 17,811 (public offering of securities act), which created the Comisión Nacional de Valores and regulates the public offering of securities and the stock exchanges in Argentina.
